Terms of Service

1. Agreement to Terms

By accessing or using the RevNote AI platform, operated by Alpha Seed Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

RevNote AI provides AI-assisted clinical documentation and billing optimization tools (the "Service") specifically designed for medical professionals in Alberta, Canada. The Service is intended to act as an administrative sidecar and is not a substitute for professional medical judgment.

3. User Responsibilities & Clinical Accountability

As a licensed healthcare professional using this Service, you acknowledge and agree that:

• Billing Accuracy: You are solely responsible for the accuracy and legality of all billing codes and claims submitted to Alberta Health. RevNote AI provides suggestions based on the Schedule of Medical Benefits (SOMB); it does not automatically submit claims. It is your ultimate responsibility to review and approve all billing codes before submitting them via your EMR.
• Documentation Validation: You must review the AI-generated SOAP notes and Billing Compliance Guard documentation requirements to ensure they accurately reflect the patient encounter before pasting them into your EMR.
• De-identification Requirement: You agree never to input, dictate, or upload Protected Health Information (PHI) (e.g., Patient Names, Date of Birth, Provincial Health Numbers) into the RevNote AI interface. You are solely liable for any breaches of the Health Information Act arising from your failure to de-identify data before processing it through our Service.

4. Subscriptions and Payments

Certain features of the Service (e.g., unlimited encounters, advanced Billing Compliance Guard logs) are billed on a subscription basis ("Pro Tier"). You will be billed in advance on a recurring monthly basis. You may cancel your subscription at any time through your dashboard; however, no refunds are provided for partial months of service. We use Stripe Inc. as our secure payment processor.

5. Disclaimer of Warranties and Liability Limitation

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee that the billing suggestions provided will result in increased revenue, nor do we guarantee immunity from Alberta Health audits, though our Billing Compliance Guard is designed to drastically improve compliance documentation.

In no event shall Alpha Seed Inc., its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data resulting from your use of the Service, or from any audit clawbacks initiated by provincial health authorities.

6. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes via email or an in-app notification prior to the changes taking effect.
